Thrive Holdings to Privatize ADT in $7.6 Billion All‑Cash Deal

Thrive Holdings, the investment vehicle headed by venture capitalist Joshua Kushner, disclosed an all‑cash purchase of security‑services leader ADT valued at roughly $7.6 billion. The deal will take ADT private, ending its public‑company status, and is expected to be finalized in Q1 2027, subject to standard regulatory clearance.

ADT, which has long supplied alarm systems and monitoring, has faced a turbulent share price and growing rivalry from technology‑driven competitors in recent years. Shifting the company to private ownership allows Thrive to reorganize its operations free from quarterly earnings pressure, possibly speeding up funding for next‑generation home‑security technology.

Joshua Kushner, younger sibling of former President Donald Trump, is known for supporting fast‑growing tech and media projects via his Thrive Capital fund. The newly formed Thrive Holdings aims to apply that know‑how, combining ADT’s broad field network with upcoming smart‑home platforms and data‑analytics tools.

Analysts see the transaction as fitting a wider consolidation pattern in the security industry, where major players pursue scale and financing to challenge digital disruptors. The cash‑intensive proposal offers a premium over ADT’s existing market value, delivering shareholders an instant payout and granting the firm a longer horizon for strategic moves.

The U.S. Federal Trade Commission’s antitrust review will be a critical obstacle, since the combination could trigger competition concerns given ADT’s leading share of residential alarm services. Approval could pave the way for additional private acquisitions of legacy infrastructure companies, altering the way consumers obtain and finance security solutions over the next decade.
